1. ACCEPTANCE OF TERMS

Welcome to The Stone Network! The Stone Network provides its service to you, subject to the following Terms of Service Supply ("TOSS"), which may be updated by us from time to time without notice to you.

When using particular The Stone Network services, you and The Stone Network shall be subject to any posted guidelines or rules applicable to such services which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the TOSS.

2. DESCRIPTION OF SERVICE

The Stone Network currently provides users with access to a rich collection of on-line resources, including, various communications tools, online forums, shopping services, personalised content and branded programming through its network of properties (the "Service"). Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new The Stone Network properties, shall be subject to the TOSS. You understand and agree that the Service is provided "AS-IS" and that The Stone Network assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalisation settings.

In order to use the Service, you must obtain access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must provide all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device.

Parental Controls

Please be aware that certain areas on the Service that may contain adult or mature content. You must be at least 18 years of age to access and view such areas. To prevent or limit your children's access to such materials, a number of parental control protections (such as computer hardware, software, or filtering services) are commercially available.

3. YOUR REGISTRATION OBLIGATIONS

In consideration of your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. Registration Data and certain other information about you is subject to our Privacy Policy.

a) Information Gathered

The Stone Network gathers information about our customers that allows us to offer compelling and easily accessible online content in a manner that provides personal privacy protection as well:

Occasionally we ask you to provide us personal information such as your name, e-mail address, or what your interests and hobbies are. You never have to answer these questions although this may limit what services we can offer you. For instance, we will not be able to offer you personalised stock portfolios if you don't tell us what stocks you wish to track.

We catalogue traffic patterns throughout the sites.

We use a feature of your browser called a "cookie" to assign a "User ID." Cookies, by themselves, cannot be used to find out the identity of any user. Your Stone Network User ID automatically identifies your computer - but not you - to our servers when you visit our site. Unless you specifically tell us, The Stone Network will never know who you are, even though we assign your computer a cookie.

Other companies that place advertising on our site also have the ability to assign a different cookie to you in a process that The Stone Network does not control. But since cookies aren't useable for identifying individuals (you'll be just a number to them), these advertisers will never know who you are - and The Stone Network will never tell them!

b) Use of the Information

The Stone Network is trying to always provide you with a compelling reason to come back and visit our site again:

We use your personal information to provide personalised portions of our site that are intended to provide just the information you are interested in receiving. Some of these personalised services are made available directly by The Stone Network. In other instances it is our partners who provide these tailored services from outside The Stone Network.

We analyse what our customers like and don't like about The Stone Network's current offerings so that we can design better services.

We use information about what you are searching for to help focus the advertisements we present to you, hopefully to make them more valuable to you.

We develop summary - not individual - reports for our advertisers. An example of a summary report might be "12,000 people clicked on Advertisement "X" today and of those people, 35% had previously indicated they had an interest in sports." The people that make it possible for you to use The Stone Network for free - our advertisers - need this information to determine how effective their advertising investments are. We never tell our advertisers who it was that saw or clicked on their advertisements unless you have specifically told us this is acceptable.

Occasionally we may send you e-mail communications to provide information that we think you will find useful, including information about new products and services from The Stone Network. It is our policy only to send e-mail to customers who give us permission to do so. In every such e-mail, we will also have instructions on how to unsubscribe so that you will not receive any future e-mails from The Stone Network if you do not wish to, or you can avoid receiving them altogether.

c) Information Distribution

The individually identifiable information that you provide will be used extensively within The Stone Network to provide a personalised experience to you. It will also be shared with The Stone Network's partners that provide some of the personalized content on our site (see "Use of the Information" above for some examples) and other third parties unrelated to offerings on The Stone Network. 5. MEMBER ACCOUNT, PASSWORD & SECURITY

You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify The Stone Network of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. The Stone Network cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 5.

6. MEMBER CONDUCT

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not The Stone Network, are entirely responsible for all Content that you upload, post, e-mail or otherwise transmit via the Service. The Stone Network does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will The Stone Network be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, e-mailed or otherwise transmitted via the Service.

You agree to not use the Service to:

a. upload, post, e-mail or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

h. upload, post, e-mail or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

i. disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;

j. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;

k. intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;

l. "stalk" or otherwise harass another; or

m. collect or store personal data about other users.

You acknowledge that The Stone Network does not pre-screen Content, but that The Stone Network and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service. Without limiting the foregoing, The Stone Network and its designees shall have the right to remove any Content that violates the TOSS or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by The Stone Network or submitted to The Stone Network, including without limitation information in The Stone Network Message Boards, The Stone Network Clubs, and in all other parts of the Service.

You acknowledge and agree that The Stone Network may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOSS; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of The Stone Network, its users and the public.

You understand that the technical processing and transmission of the Service, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

7. SPECIAL ADMONITIONS FOR INTERNATIONAL USE

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United Kingdom, the United States or the country in which you reside.

8. PUBLIC CONTENT POSTED TO THE STONE NETWORK

For purposes of the TOSS, "publicly accessible areas of the Service" are those accessible by the general public. By way of example, a publicly accessible area of the Service would include public The Stone Network Clubs and The Stone Network Message Boards, but would not include private The Stone Network Clubs or private The Stone Network communication services such as The Stone Network Mail or The Stone Network Messenger.

With respect to Content you elect to post for inclusion in publicly accessible areas of The Stone Network Clubs or that consists of photos or other graphics you elect to post to any other publicly accessible area of the Service, you grant The Stone Network the world-wide, royalty free and non-exclusive license to reproduce, modify, adapt and publish such Content on the Service solely for the purpose of displaying, distributing and promoting the specific The Stone Network Club to which such Content was submitted, or, in the case of photos or graphics, solely for the purpose for which such photo or graphic was submitted to the Service. This license exists only for as long as you elect to continue to include such Content on the Service and shall be terminated at the time you delete such Content from the Service.

With respect to all other Content you elect to post to other publicly accessible areas of the Service, you grant The Stone Network the royalty-free, perpetual, irrevocable, non-exclusive and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.

9. INDEMNITY & RELEASE

By using the The Stone Network web sites you agree to indemnify The Stone Network and its parents, subsidiaries, affiliates, officers, and employees and hold them harmless from any and all claims and expenses, including attorney's fees, arising from your use of the The Stone Network web sites. By using the The Stone Network you are hereby agreeing to release The Stone Network and its parents, subsidiaries, affiliates, officers, and employees from any and all claims, demands, debts, obligations, damages (actual or consequential), costs, and expenses of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, that you may have against them arising out of or in any way related to such disputes and/or to the Products and Services. You hereby agree to waive all laws that may limit the efficacy of such releases.

10. NO RESALE OF SERVICE

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

11. GENERAL PRACTICES REGARDING USE & STORAGE

You acknowledge that The Stone Network may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that e-mail messages, message board postings or other uploaded Content will be retained by the Service, the maximum number of e-mail messages that may be sent from or received by an account on the Service, the maximum size of any e-mail message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on The Stone Network's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that The Stone Network has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that The Stone Network reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that The Stone Network reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

12. MODIFICATIONS TO SERVICE

The Stone Network reserves the right to modify the Products and Services from time to time, for any reason, and without notice, including the right to terminate the Products and Services. The Stone Network reserves the right to modify these Terms and Conditions from time to time, without notice. Please review these Terms and Conditions from time to time so you will be appraised of any changes.

You agree that The Stone Network shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

TERMINATION

You agree that The Stone Network, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if The Stone Network believes that you have violated or acted inconsistently with the letter or spirit of the TOSS. The Stone Network may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this TOSS may be effected without prior notice, and acknowledge and agree that The Stone Network may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. The sites displayed as search results, otherwise linked to the The Stone Network web sites, or operated or provided to the The Stone Network by third parties are developed by people over whom The Stone Network exercises no control. The search results that appear from the catalogues indexed by The Stone Network's spiders or web robots are automated, and The Stone Network cannot and does not screen the sites before including them in the catalogues from which such automated search results are gathered. Accordingly, The Stone Network assumes no responsibility for the content of any site included in any search results or otherwise linked to the The Stone Network web sites. In instances where The Stone Network does review the sites that are displayed in directories, indices, and/or references, or where The Stone Network makes available directories, indices, and/or references of sites compiled by third parties, the content located at such sites was developed by third parties.

The Stone Network occasionally receives requests from people to remove links from its catalogues. Although The Stone Network reserves the right to address such requests individually, the general approach that The Stone Network takes reflects the following principles:

The Stone Network's catalogues consist of information that has been identified, indexed and compiled through an automated process with no advance review by human beings. Given the enormous volume of web site information added, deleted, and changed on a frequent basis, The Stone Network cannot and does not screen anything made available through its catalogues. In other instances, The Stone Network makes available directories, indices, and references consisting of content that has been identified, indexed, and compiled by humans.

24. THE STONE NETWORK LOGOS & SEARCH BOXES

The Stone Network offers a non-assignable, non-transferable, and non-exclusive license to link to The Stone Network's web site, using the certain The Stone Network logos and search boxes, subject to the following provisions. 26. VIOLATION OF TERMS & CONDITIONS

27. GENERAL INFORMATION

The TOSS constitutes the entire agreement between you and The Stone Network and govern your use of the Service, superceding any prior agreements between you and The Stone Network. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. The TOSS and the relationship between you and The Stone Network shall be governed by the laws of the United Kingdom without regard to its conflict of law provisions.
